HUNTSVILLE MUSIC TEACHERS ASSOCIATION BY-LAWS Huntsville Music Teachers Association (HMTA) is an organization of independent and collegiate music teachers committed to furthering the art of music through teaching, performance, composition, and scholarly research. This group includes teachers of composition, brass, strings, woodwinds, percussion, piano, organ, guitar, voice and choral music. Article 1 - Name Section 1: The name of this organization shall be the Huntsville Music Teachers Association. Section 2: This Huntsville Music Teachers Association is affiliated with the Alabama Music Teachers Association and the Music Teachers National Association. Article 2 - Purpose Section 1: The purpose of this organization is as follows: a. To provide encouragement and continued growth for the music teachers in Huntsville and the surrounding areas through regular meetings and informative programs. b. To provide fellowship, understanding and professional cooperation between music teachers in the community. c. To cooperate fully with the policies and purposes of the State and National Associations. d. To promote awareness in the community of the value of music education and the availability of qualified instructors. e. The HMTA shall be organized exclusively for educational purposes within the meaning of Section 501(c) (3) of the Internal Revenue Code of 1954. Article 3 - Officers and Elections Section 1: The Officers of the HMTA are: President; President-Elect, Secretary, Treasurer; and the Past-President. These members shall serve as the executive board of HMTA. Section 2: The term of office shall be for 2 years. The President shall appoint a nominating committee before Christmas, with a slate of officers to be presented at the next meeting. Section 3: When the slate of officers is presented, nominations will be accepted from the floor. The election will take place at this meeting. Article 4 - Duties of Officers Section 1: The President shall preside at all meetings and appoint committees when needed. The President will appoint a mailing committee to advise members at least 1 week before the first meeting in the fall, as to the date, time, and place for the first meeting. If an office is vacated, the President shall appoint a replacement to serve out the term. Section 2: The President-Elect will be responsible for the programs for the year. In the absence of the President, the President-Elect shall assume the duties of the president for that meeting. Section 3: The Secretary shall keep accurate minutes of each meeting, record attendance, and, with the President's approval, be responsible for HMTA’S correspondence. Section 4: The Treasurer shall keep an accurate record of monies received and monies spent. A Treasurer’s report shall be included in the minutes of each meeting. Section 5: The Past-President shall offer advice and counsel to the board members as needed. Article 5 - Membership and Dues Section 1: New members may join at any time throughout the fiscal year. Section 2: All members must pay HMTA dues as well as MTNA and AMTA dues when invoiced by MTNA to remain a member of HMTA. Section 3: The fiscal year shall be from July 1 through June 30. Article 6 - Meetings Section 1: Meetings will be held approximately 4 (four) times throughout the fiscal year. The exact date, time and month of the meetings will depend on the meeting's requirements, and the availability of a meeting place. The membership shall be notified by telephone or via email. Section 2: A simple majority of members present is required to conduct business at meetings. Article 7 - Dissolution Section 1: Should this organization be dissolved, all outstanding debts shall be paid. Section 2: The remaining money shall be given to the Alabama Music Teachers Association's state treasurer to be put in their scholarship fund for young musicians, as described in Section 501(c)(3) of the Internal Revenue Code of 1954. Article 8 - Amendments Section 1: Amendments to the by-laws may be made at one of the regular meetings by a two-thirds vote of the members present. Section 2: The amendment acted upon must have been presented in writing at the previous meeting.
